Associate Corporate Attorney

About the Opportunity

R. Reese & Associates is seeking an experienced corporate matters attorney to join our expanding practice as an associate contributor and team leader. With 3-4 years of hands-on M&A, private equity, and/or general matters experience, you bring the kind of judgment and independence that allows you to run matters from start to finish.

What You'll Do

  • Familiarity with Transaction Documents:
    • Purchase agreements (asset and equity), including key concepts such as reps and warranties, indemnification, and closing conditions
    • Operating, shareholder, and partnership agreements
    • Ancillary transaction documents (e.g., bills of sale, assignment agreements, employment/consulting agreements, closing certificates)
    • Exposure to drafting and revising documents, including first drafts after discussing changes with client
  • Strong Experience with Corporate Fundamentals:
    • Entity formation, structuring, and governance matters across LLCs and corporations
    • Drafting and maintaining organizational documents, consents, resolutions, and corporate records
    • Understanding of ownership structures, capitalization, and basic equity mechanics
  • Due Diligence & Issue Spotting:
    • Managing and organizing diligence requests and data rooms
    • Reviewing contracts and corporate records to identify risks and summarize findings
    • Ability to flag material issues and escalate appropriately
  • Closing Execution:
    • Experience coordinating transaction closings, including signature collection and closing deliverables
    • Preparation and organization of closing checklists and binders
    • Familiarity with pre- and post-closing requirements
  • General Corporate & Commercial Awareness:
    • Exposure to commercial contracts and general business advisory matters
    • Understanding of how legal issues impact business outcomes
    • Exposure to commercial contracts and general corporate advisory work

Who We're Looking For

Preferred Experience

  • Experience representing lower middle market clients, founders, or closely held businesses
  • Exposure to real estate transactions or financing
  • Experience with high-volume deal flow and tight timelines

R. Reese & Associates is seeking an experienced Oil & Gas Title attorney to join our expanding practice as a senior contributor and team leader. With 5–7 years of hands-on title experience, you bring the kind of judgment and independence that allows you to run matters from start to finish.

What You'll Do

  • Lead the drafting of complex mineral title opinions across multiple basins
  • Manage matters independently with accountability for quality and client outcomes
  • Serve as a mentor to junior attorneys
  • Partner with RR&A’s growing land, transactions, and renewable energy teams on cross-practice matters
  • Help shape best practices and workflows as the title group expands

Who We're Looking For

  • Attorney with 5–7 years of oil & gas mineral title experience
  • Experienced landmen with JD and strong title track record are also considered
  • Currently drafting drilling, division order, or acquisition title opinions with limited oversight
  • Comfortable working independently and trusted to manage client relationships
  • Proven ability — or demonstrated interest — in developing junior talent
  • Candidates licensed in one or more of the following states are strongly preferred: Colorado, Louisiana, North Dakota, Ohio, Oklahoma, West Virginia, Wyoming, Utah, or other basin-state licenses welcomed
  • Strong work ethic, collaborative spirit, and ownership mindset
